TERMS AND CONDITIONS

The PRD 50th Anniversary – 50 Prizes to Be Won Contest (the “Contest”) is organized by P.R. DISTRIBUTION INC. (”PR Distribution”, “PRD”, or the “Sponsor”).

This Contest is being held as part of PR Distribution’s 50th anniversary celebrations and is intended to promote the use of the PRD Customer Portal, PRD’s online ordering platform for its customers.

The Contest is governed exclusively by these Official Rules (the “Rules”). By entering the Contest, each entrant acknowledges that they have read, understood, and agree to be bound by these Rules.

OFFICIAL RULES

NO PURCHASE NECESSARY

THE CONTEST IS OPEN TO LEGAL RESIDENTS OF CANADA ONLY AND IS SUBJECT TO ALL APPLICABLE FEDERAL, PROVINCIAL, AND MUNICIPAL LAWS. THE CONTEST IS VOID WHERE PROHIBITED BY LAW. BY ENTERING THE CONTEST, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES.

1. CONTEST PERIOD

The Contest begins on August 1, 2026, at 12:00 a.m. Eastern Time (“ET”) and ends on September 30, 2026, at 11:59 p.m. ET (the “Contest Period”).

All entries must be received before the end of the Contest Period to be eligible.

Any entry received after the Contest Period has ended will be automatically disqualified.

The Sponsor reserves the right to extend, shorten, suspend, or cancel the Contest Period in accordance with these Rules and applicable law.

2. ELIGIBILITY

To enter the Contest and be eligible to win a prize, an entrant must:

  • be a legal resident of Canada;
  • have reached the age of majority in their province or territory of residence at the time of entry;
  • represent a business with an active customer account with PR Distribution or be authorized to create an eligible customer account; and
  • be associated with a valid shipping address registered in PR Distribution’s records.

Each eligible person is hereinafter referred to as a “Participant.”

The following individuals are not eligible to participate:

  • employees, officers, directors, and representatives of PR Distribution;
  • any person directly involved in the organization or administration of the Contest; and
  • the immediate family members (spouse, parents, children, brothers, and sisters) of the individuals listed above, as well as anyone residing in the same household.

The Sponsor may, at any time, require proof of identity, age, eligibility, business authorization, or any other information deemed necessary to verify a Participant’s eligibility.

Failure to provide the requested information within the prescribed timeframe may result in disqualification.

All information provided in connection with the Contest must be truthful, complete, and accurate.

The Sponsor reserves the right to disqualify any person who provides false, misleading, incomplete, or inaccurate information.

3. HOW TO ENTER

No purchase is necessary to enter the Contest.

There are two (2) ways to enter:

  • Method 1 : Register for the PRD Customer Portal: Register Now
  • Method 2 : Earn additional entries by placing eligible orders through the PRD Customer Portal.

4. ENTRY THROUGH PRD CUSTOMER PORTAL REGISTRATION

Each eligible Participant who registers for the PRD Customer Portal during the Contest Period will automatically receive one (1) entry.

Customers who were already registered for the PRD Customer Portal before the Contest began will also automatically receive one (1) entry.

This constitutes the Contest’s no-purchase method of entry.

No further action is required to receive this entry.

5. ADDITIONAL ENTRIES THROUGH ELIGIBLE ORDERS

Each eligible order placed through the PRD Customer Portal during the Contest Period earns one (1) additional entry.

To qualify as an eligible order, the order must:

  • be placed through the PRD Customer Portal;
  • be received by PR Distribution during the Contest Period;
  • be associated with a valid shipping address;
  • be invoiced; and
  • not be cancelled, fully credited, or determined to be fraudulent.

There is no limit to the number of entries that may be earned through eligible orders.

Each eligible order constitutes one (1) additional Contest entry.

The Sponsor reserves the right, in its sole discretion, to exclude any order it considers fictitious, abusive, artificial, or placed solely for the purpose of increasing the chances of winning.

6. SHIPPING ADDRESSES

Entries are associated with a single shipping address.

For the purposes of this Contest, a unique shipping address means a distinct physical location recorded in PR Distribution’s systems.

Multiple branches of the same company may participate separately, provided that each branch has its own unique shipping address.

Example:

  • ABC Company – Montréal
  • ABC Company – Québec City

These two locations are considered separate shipping addresses and will accumulate entries independently.

The Sponsor reserves the right to verify the uniqueness of any shipping address and to combine or invalidate entries where multiple addresses have been artificially created to circumvent these Rules.

7. ENTRY TABULATION

At the end of the Contest Period, PR Distribution will compile all eligible entries based on its internal records.

Each eligible entry represents one (1) chance to win.

The Sponsor’s electronic records shall constitute the official record of the number of entries assigned to each shipping address.

In the event of any discrepancy between information displayed, transmitted, or estimated by a Participant and the Sponsor’s internal records, the Sponsor’s records shall prevail and be final.

The Sponsor reserves the right to verify, correct, or adjust the number of entries assigned to any Participant where necessary to preserve the integrity of the Contest.

8. PRIZES

A total of fifty (50) prizes will be awarded.

The prizes are distributed as follows:

  • Two (2) 50 L Mega Coolers
  • Five (5) 38 L Portable Coolers
  • Forty-three (43) 8 L Lunch Coolers

Approximate total retail value of all prizes: CAD $2,500.

Prizes must be accepted as awarded.

Prizes are not transferable, redeemable for cash, resalable, or otherwise substitutable by the winner.

If a prize becomes unavailable for reasons beyond the Sponsor’s control, the Sponsor reserves the right, at its sole discretion, to substitute the prize with another prize of equal or greater value.

9. PRIZE DRAW

At the conclusion of the Contest Period, the Sponsor will conduct a random draw from all eligible entries compiled in accordance with these Rules.

The draw will take place on October 5, 2026, at 4:00 p.m. ET at PR Distribution’s head office located at 6500 rue Zéphirin-Paquet, Québec, QC G2C 0M3, or at another location determined by the Sponsor.

All eligible entries will be placed into a single draw pool.

Prizes will be awarded in the following order:

  1. Two (2) 50 L Mega Coolers;
  2. Five (5) 38 L Portable Coolers;
  3. Forty-three (43) 8 L Lunch Coolers.

Each eligible entry represents one (1) chance to win.

Once a shipping address has been selected as the winner of a prize, all entries associated with that shipping address will be removed from the draw pool. That shipping address will not be eligible to win any additional prizes in this Contest.

The draw process will continue until all fifty (50) prizes have been awarded.

The Sponsor may also select a reasonable number of alternate potential winners for each prize category should a potential winner be disqualified or decline their prize.

10. ODDS OF WINNING

The odds of winning depend on the total number of eligible entries received during the Contest Period.

Each eligible entry represents one (1) additional chance to be selected in the prize draw.

Accordingly, the more eligible entries a shipping address accumulates through eligible orders placed via the PRD Customer Portal, the greater its chances of being selected.

11. NOTIFICATION OF POTENTIAL WINNERS

Following the prize draw, the Sponsor will attempt to contact each potential winner using the contact information associated with their customer account.

The Sponsor may contact a potential winner by telephone, email, or any other reasonable means.

The potential winner must respond to the Sponsor within ten (10) business days following the Sponsor’s first attempt to make contact.

If a potential winner:

  • cannot be contacted;
  • declines the prize;
  • fails to respond within the prescribed timeframe;
  • is found to be ineligible;
  • fails to comply with these Rules; or
  • incorrectly answers the mathematical skill-testing question;

the Sponsor may, at its sole discretion, disqualify the potential winner and select another potential winner in accordance with the draw process.

The Sponsor is not responsible if a potential winner does not receive the notification because the contact information on file is inaccurate, incomplete, or out of date.

12. MATHEMATICAL SKILL-TESTING QUESTION

In accordance with applicable Canadian law, before being officially declared a winner, each potential winner must correctly answer, without mechanical, electronic, or other assistance, a mathematical skill-testing question.

The question may be administered by telephone, email, or any other method selected by the Sponsor.

Failure to correctly answer the question will result in the disqualification of the potential winner, and another draw may be conducted to select a replacement potential winner.

13. PRIZE CLAIM AND DELIVERY

Before receiving a prize, each potential winner must:

  • confirm their identity;
  • confirm their eligibility to participate in the Contest;
  • correctly answer the mathematical skill-testing question; and
  • provide any information or documentation reasonably requested by the Sponsor to verify their eligibility.

The Sponsor may also require the potential winner to sign a declaration of eligibility and a liability release before the prize is awarded.

Prizes will be delivered within a reasonable period following the official confirmation of the winners.

The method of prize delivery will be determined by the Sponsor and may include:

  • delivery to the winning shipping address;
  • delivery by a PR Distribution representative;
  • presentation at an event organized by PR Distribution; or
  • any other method deemed appropriate by the Sponsor.

The Sponsor will assume the risk of loss or damage during transportation until the prize has been delivered to the winner.

14. GENERAL PRIZE CONDITIONS

Prizes are awarded as is.

Prizes may not be:

  • redeemed for cash;
  • transferred to another person;
  • substituted at the winner’s request; or
  • resold in connection with the Contest.

The Sponsor reserves the right to substitute any prize with another prize of equal or greater value if circumstances beyond its control make it impossible to award the prize as described.

Any portion of a prize that is declined or not claimed will be deemed forfeited and will remain the property of the Sponsor.

15. LIMITATION OF LIABILITY

By entering the Contest, each Participant releases the Sponsor and its affiliates, officers, directors, employees, representatives, suppliers, partners, agencies, and agents from any liability arising directly or indirectly from participation in the Contest, the acceptance, use, or misuse of a prize, or any injury, loss, or damage resulting from the Contest or a prize.

Without limiting the generality of the foregoing, the Sponsor is not responsible for lost, late, incomplete, or illegible entries; human or administrative errors; computer or technical failures; network or system interruptions; website or PRD Customer Portal outages; computer viruses; electronic communication failures; or any event beyond the Sponsor’s control that may interfere with the proper administration of the Contest.

If, for any reason, the Contest cannot be conducted as planned, the Sponsor may modify, suspend, or terminate the Contest, in whole or in part, without liability to Participants.

16. PUBLICITY

Subject to applicable law, each winner authorizes the Sponsor, without additional compensation, to use their name, the name of their company, their city, their province, their photograph, their likeness, their voice, any photograph or video taken during the presentation or delivery of the prize, and any statement made in connection with the Contest for advertising or promotional purposes related to the Contest, in any current or future media, including websites, social media, printed publications, and PR Distribution marketing communications.

A winner may be required to sign a document confirming this authorization.

17. INTELLECTUAL PROPERTY

All intellectual property rights relating to the Contest, including trademarks, trade names, logos, graphics, photographs, videos, written content, promotional materials, webpages, slogans, and any other content used in connection with the Contest, are the exclusive property of PR Distribution or their respective owners.

No Contest-related material may be reproduced, distributed, modified, published, or used without the prior written authorization of the applicable rights holder.

18. COLLECTION AND USE OF PERSONAL INFORMATION

By entering the Contest, each Participant consents to PR Distribution collecting, using, and retaining the personal information necessary to administer the Contest.

This information may be used to verify Participants’ eligibility, assign and tabulate entries, contact potential winners, administer the prize draw, deliver prizes, and comply with applicable legal requirements.

Personal information will be handled in accordance with applicable privacy laws.

Participation in the Contest does not automatically subscribe Participants to PR Distribution marketing communications. Any consent to receive commercial electronic communications will be requested separately in accordance with applicable law.

Participants may request access to, or correction of, their personal information in accordance with applicable law.

19. SOCIAL MEDIA

This Contest is in no way sponsored, endorsed, administered by, or associated with Facebook, Instagram, LinkedIn, X (formerly Twitter), or any other social media platform.

Any information provided by a Participant in connection with the Contest is provided solely to PR Distribution and not to any social media platform.

Participants remain responsible for complying with the terms of use of any platform on which the Contest may be advertised or promoted.

20. FRAUD, TAMPERING, AND DISQUALIFICATION

The Sponsor reserves the right, at its sole discretion, to disqualify any Participant or shipping address that violates these Rules; provides false or misleading information; attempts to influence or manipulate the administration or outcome of the Contest; uses multiple identities or accounts to obtain an unfair advantage; artificially creates shipping addresses to increase the chances of winning; uses automated means, scripts, bots, or any other process intended to circumvent the Contest Rules; or engages in fraudulent, abusive, or other conduct contrary to the spirit of the Contest.

The Sponsor may invalidate any entry obtained improperly and take any other action it considers appropriate to protect the integrity of the Contest.

Any attempt to undermine the legitimate operation of the Contest may constitute a violation of civil or criminal law. The Sponsor reserves the right to pursue any remedies available at law.

21. SPONSOR’S DECISIONS

All decisions made by the Sponsor in connection with the Contest are final and binding, subject to applicable law. This includes, without limitation, decisions regarding a Participant’s eligibility, the validity of an entry, the validation of orders, the determination of eligible shipping addresses, the allocation of entries, the selection of winners, and the interpretation of these Rules.

The Sponsor also reserves the right to interpret these Rules and resolve any situation not expressly addressed herein in a manner consistent with the spirit of the Contest.

22. MODIFICATION, SUSPENSION, OR CANCELLATION OF THE CONTEST

The Sponsor reserves the right, at its sole discretion and subject to applicable law, to modify, suspend, interrupt, or cancel the Contest, in whole or in part, including in the event of fraud or attempted fraud; computer failure; technical difficulties; administrative error; force majeure; any event beyond the Sponsor’s control; or any other circumstance that may compromise the administration, security, integrity, or proper operation of the Contest.

The Sponsor shall not be liable for any such modification, suspension, interruption, or cancellation.

23. GOVERNING LAW

The Contest is governed by the federal laws of Canada and the applicable laws of the Province of Québec.

Subject to any mandatory provisions of applicable law, any dispute arising from or relating to the Contest shall be submitted to the courts of competent jurisdiction in the Province of Québec.

If any provision of these Rules is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

24. DISCREPANCIES BETWEEN DOCUMENTS

In the event of any discrepancy or inconsistency between these Rules and any promotional material, advertisement, social media post, web banner, email, webpage, or other communication relating to the Contest, these Rules will prevail.

The total number of prizes awarded in connection with the Contest is limited to the number expressly stated in these Rules.

If an administrative, computer, technical, or other error results in more potential winners being identified than there are prizes available, the Sponsor reserves the right to conduct an additional random draw among the eligible Participants in order to award the exact number of prizes specified in these Rules.

25. ACCEPTANCE OF THE RULES

By entering the Contest, each Participant acknowledges having read these Rules and agrees to be bound by them.

Each Participant also agrees that all decisions made by the Sponsor in accordance with these Rules are final and binding.

The Sponsor’s failure to enforce any provision of these Rules will not constitute a waiver of that provision.
